1. Agreement to Terms

By accessing or using Finstruct's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. Use of our website and services is also subject to our Cookie Policy and Privacy Policy, which govern how we process personal data and use tracking technologies. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Finstruct provides boutique advisory and outsourced back-office services specializing in:

  • Compliance and risk management consulting
  • Back-office operations and workflow automation
  • Strategic advisory for fintech growth and expansion

Our services are provided on a consultancy basis and may include implementation support, ongoing advisory, and operational outsourcing arrangements.

3. Client Responsibilities & No Reliance

Clients engaging with Finstruct agree to:

  • Provide accurate and complete information necessary for service delivery
  • Maintain appropriate regulatory licenses and permissions for their business operations
  • Comply with all applicable laws and regulations in their jurisdiction
  • Cooperate in good faith during the engagement period
  • Pay fees according to agreed terms and schedules

No Reliance

Clients acknowledge and agree that any advice, recommendations, or deliverables provided by Finstruct are for informational and advisory purposes only. They should not be relied upon as the sole basis for business, technical, or regulatory decisions. The client retains full and ultimate responsibility for their own compliance and business outcomes.

4. Confidentiality and Data Protection

Finstruct maintains strict confidentiality regarding all client information and business data. We implement industry-standard security measures to protect sensitive information. Both parties agree to maintain confidentiality of proprietary information shared during the engagement.

We process personal data in accordance with applicable data protection laws including GDPR. Clients retain ownership of their data, and we process it solely for service delivery purposes.

5. Limitation of Liability

Finstruct provides advisory and consulting services based on industry best practices and regulatory knowledge current at the time of engagement. While we maintain high professional standards:

  • Our services are advisory in nature and clients remain responsible for their business decisions.
  • We cannot guarantee specific business outcomes or regulatory approval results.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be limited or excluded by applicable law. Nothing in these Terms shall affect any statutory rights which cannot be excluded or limited under applicable law.

Subject to the above, our total aggregate liability to you in contract, tort (including negligence), or otherwise arising under or in connection with these Terms shall be limited to the total fees paid by you to Finstruct for the specific services giving rise to the claim in the twelve (12) months preceding the date on which the claim arose (the 'Liability Period').

Subject to the above, we exclude liability for indirect, consequential, or special damages, or any loss of profits, revenue, business, or data.

6. Intellectual Property

Finstruct retains ownership of our proprietary methodologies, frameworks, and general industry knowledge. Work products specifically created for clients become client property upon full payment. Both parties respect each other's intellectual property rights.

7. Payment Terms

Payment terms are specified in individual service agreements. Generally:

  • Fees are due according to agreed milestone or monthly schedules
  • Late payments may incur additional charges
  • Services may be suspended for non-payment after written notice
  • All fees are exclusive of applicable taxes

8. Termination

Either party may terminate the engagement with written notice as specified in the service agreement. Upon termination:

  • All outstanding fees become immediately due
  • Work completed to the termination date will be delivered
  • Both parties will return confidential materials

Termination shall not affect rights or obligations which are intended to survive termination, including confidentiality, intellectual property rights, liability limitations, and payment obligations.

9. Regulatory Compliance & Disclaimer

Finstruct operates across multiple jurisdictions including the UK, UAE, Cyprus, and India. We maintain appropriate registrations and comply with local regulations in our operating territories. Clients remain responsible for compliance in their own jurisdictions.

Finstruct is not a regulated financial institution, law firm, or investment advisor, and does not provide regulated financial, legal, or investment services unless explicitly agreed in writing.

10. Governing Law

These terms are governed by English law, and any disputes will be subject to the jurisdiction of English courts, unless otherwise specified in individual service agreements.

11. Entire Agreement

These Terms, together with any specific service agreement or Statement of Work (SOW), constitute the entire agreement between the parties regarding the services and supersede any prior discussions, correspondences, negotiations, or representations.

12. Changes to Terms

Finstruct reserves the right to modify these terms at any time. Updated terms will be posted on our website with the revision date. Continued use of our services constitutes acceptance of modified terms.
